Terms of Use

Effective May 18, 2026 · Nimble & Cross Financial Inc.

1 · Agreement

These Terms of Use form a binding agreement between you and Nimble & Cross Financial Inc. (and its affiliates, including Nimble & Cross Global Ltd.). By accessing or using the Nimble & Cross platform you agree to these Terms.

2 · Eligibility

You must be at least 18 years old, lawfully able to enter contracts, and not subject to sanctions or other restrictions that would make providing service to you illegal. We may decline service, suspend, or terminate your account at our discretion in accordance with applicable law.

3 · Account responsibilities

  • Provide accurate, complete information during onboarding and keep it updated.
  • Maintain the confidentiality of your credentials and immediately notify us of any unauthorized use.
  • Comply with all laws applicable to your business and your use of the platform.

4 · Banking, cards, and payments

Banking and card services are provided by Nimble & Cross's licensed partners (Lithic, Bridge, Paytrie). Your use of those services is also governed by the partners' cardholder and account agreements, which we will surface to you in-app at onboarding. Nimble & Cross is not itself a bank.

5 · Tax representation (T1013)

If you authorize Nimble & Cross as your tax representative via Form T1013 (CRA) or any equivalent in another jurisdiction, you authorize us to receive your tax information and file returns on your behalf. You remain responsible for the accuracy of the information you provide to us. We charge no fee unless a refund is realized; in that case we charge a transparent share of the refund as disclosed at the time of filing.

6 · Fees

Our fees are described on the Pricing page and within the in-app billing screen. We will give 30 days' notice before any material fee change takes effect.

7 · Acceptable use

Your use of Nimble & Cross must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference.

8 · Intellectual property

The Nimble & Cross platform — including all software, designs, content, and trademarks — is owned by Nimble & Cross or its licensors. Nothing in these Terms transfers any of those rights to you, except a limited, non-exclusive, non-transferable, revocable license to use the platform.

9 · Disclaimers

The platform is provided "as is" and "as available." To the maximum extent permitted by law, Nimble & Cross disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not provide legal, tax, or investment advice — although we do file and execute on your behalf when you authorize us.

10 · Limitation of liability

To the maximum extent permitted by law, Nimble & Cross's total liability for any claim arising from or related to the platform is limited to the greater of (a) the fees you paid to Nimble & Cross in the 12 months before the claim, or (b) CAD $250.

11 · Indemnification

You agree to indemnify Nimble & Cross against any claims arising from your breach of these Terms, your violation of law, or your misuse of the platform.

12 · Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The courts of Ontario have exclusive jurisdiction over any dispute.

13 · Changes

We may update these Terms from time to time. If a change is material, we will notify you in advance and your continued use after the effective date constitutes acceptance.

Nimble & Cross is a technology-enabled professional services organization. Legal, tax, and financial work, including entity formation, trust and holding company structuring, cap table governance, and tax filings, is directed by our legal and finance departments and reviewed and signed off by your assigned team of licensed professionals, with AI agents handling the underlying filing, reconciliation, and monitoring under that oversight. Card issuance is provided by i2c and Lithic; banking services by RBC Business Banking, National Bank, and Peoples Group; and payment and currency rails by Bridge and Paytrie. Nimble & Cross is not itself a bank.
